1. Scope
These terms apply to the use of nest-tex.com and to all orders for NEST-TEX material, made-to-measure jackets, covers and other custom products from NEST-TEX d.o.o., Grampovčanova ulica 17, 1000 Ljubljana, Slovenia (“NEST-TEX”, “we”). For business customers, an individual written offer takes precedence over these terms. Nothing in these terms limits the statutory rights of consumers.
2. Inquiries, offers and contract
Information and prices on the website are not a binding offer. After an inquiry or order request we send an offer (material, covers and other custom products) or a pro-forma invoice (made-to-measure jackets) with the specification, price, payment terms and estimated delivery date. The contract is concluded when you accept the offer in writing or pay the pro-forma invoice as stated in it, and we confirm the order.
3. Prices and payment
Prices are in euros. NEST-TEX is registered for VAT (SI39023656). Prices shown on the website are indicative and the binding price is stated in the offer or pro-forma invoice: the starting price of €18/m² for material and the indicative price of €50/m² for covers are stated without VAT, while prices for consumers, such as €390–990 for made-to-measure jackets, include VAT. Every offer or pro-forma invoice for a consumer states the final price including VAT. Unless otherwise agreed in writing, orders are paid 100% in advance on the basis of a pro-forma invoice, and production starts after payment is received. Products remain the property of NEST-TEX until paid in full.
4. NEST-TEX material (business customers)
- The minimum order is 150 running metres at a roll width of 2 m.
- The customer selects the outer fabric (proposed by NEST-TEX or supplied by the customer), the membrane porosity and water column, and the inner layer (mesh or fabric). Weight depends on the selected layers.
- Customer-supplied fabrics must not stretch in either direction (x and y). The customer is responsible for their suitability and timely delivery; NEST-TEX may decline fabrics that are not suitable for lamination.
- Technical values published for the membrane are laboratory values, measured at the Institute for Sustainable Innovative Technologies (iSIT), and may differ in the finished laminate or product. The customer is responsible for testing whether the material suits its intended product and use.
- Material orders are paid 100% in advance on the basis of a pro-forma invoice.
5. Made-to-measure jackets
Fittings take place on working days by arrangement, at Cesta Dolomitskega odreda 10c, Ljubljana, or at an address agreed in advance. The measurements are taken by NEST-TEX. After measuring, we send a pro-forma invoice based on the chosen model, colour, extra pockets, materials and size; prices for consumers include VAT. Production starts once payment has been made as stated in the pro-forma invoice.
6. Covers and other custom products
Covers and tarpaulins are made to the dimensions you provide or that we measure. You are responsible for the accuracy of dimensions you provide. The indicative price is €50/m² excluding VAT and the quantity of a limited edition is agreed with each order; the binding price is stated in the quotation and the order is paid 100% in advance.
7. Delivery
We deliver worldwide. Delivery costs are paid by the customer and are stated in the offer or pro-forma invoice, together with the delivery method. Delivery dates vary; the estimated delivery date is confirmed in the offer or pro-forma invoice and is not a fixed deadline unless expressly agreed in writing. For deliveries outside the European Union, any customs duties and import charges are paid by the customer.
8. Right of withdrawal for consumers
Where a consumer concludes a distance or off-premises contract, the statutory 14-day right of withdrawal generally applies. It does not apply to goods made to the consumer’s specifications or clearly personalised, which includes made-to-measure jackets and custom covers.
9. Conformity and complaints
Consumers have the rights provided by Slovenian consumer protection legislation if a product does not conform to the contract. Please report any issue to info@nest-tex.com with a description and photos. Business customers must inspect deliveries on receipt and report visible defects in writing without delay, at the latest within 8 days of delivery.
10. Liability
Towards business customers, our liability is limited to the value of the order concerned, except in cases of intent or gross negligence. We are not liable for damage caused by unsuitable use, processing or storage of the material. Towards consumers, statutory liability applies.
11. Intellectual property
The website content, the NEST-TEX and ArtSkin names and the underlying technology, including pending patent applications, are protected. Buying material or products does not grant any right to reproduce the technology.
12. Force majeure
Neither party is liable for delays or failure to perform caused by circumstances beyond its reasonable control.
13. Personal data
We process personal data as described in our Privacy Policy.
14. Law and disputes
These terms are governed by the law of the Republic of Slovenia. We aim to settle complaints amicably. For business customers, the competent court in Ljubljana has jurisdiction. Consumers keep the protection of mandatory law and may also turn to a provider of out-of-court consumer dispute resolution.
